Terms of Sale

1. Agreement

By completing checkout on erebyx.com, you agree to these Terms of Sale, our Privacy Policy, our Terms of Service, our Refund Policy, our Acceptable Use Policy, and our Data Retention Policy. If you do not agree, do not submit payment.

Electronic signatures and notices. By submitting payment, you consent to receive our notices, contracts, receipts, and disclosures electronically (by email or in-account message) under the U.S. ESIGN Act (15 U.S.C. § 7001) and the North Carolina Uniform Electronic Transactions Act. You may withdraw this consent at any time by emailing [email protected]; doing so will end your subscription.

2. What You Are Purchasing

You are purchasing a Genesis Arche Genesis Arche subscription to EREBYX, including the access, features, and benefits shown at checkout and on our pricing or Genesis pages.

Genesis Arche pricing as of the effective date of these Terms:

• $179.00 per month
• $1,790.00 per year — equivalent to $179 × 10 months, i.e. two months free when you pay annually.

Sales tax. Software-as-a-service is generally not subject to sales tax in most U.S. jurisdictions, including North Carolina. Where applicable in jurisdictions that do tax SaaS, sales tax is automatically calculated and added at checkout by Stripe Tax based on your billing address; you will see the exact amount before you confirm payment.

The price you select at checkout is your locked Genesis Arche rate and remains locked for as long as your subscription is continuously active (defined in § 6).

Genesis Arche cohort cap. Genesis Arche is offered to a single limited cohort of 2,000 Genesis Arche members, shared across the monthly and annual plans. Once the cohort is filled, Genesis Arche enrollment closes; subsequent subscription tiers and pricing will be announced separately when available.

v2.0 priority access. When the v2.0 Project EREBYX model ships, Genesis Arche members receive priority access at this locked rate. Features, timing, and availability of v0.1.x and v0.2.x capabilities may evolve during beta; we will use reasonable efforts to deliver what we describe, subject to these Terms of Sale and any separate product terms we publish.

3. Order & Payment

• Prices, taxes, and fees shown at checkout are part of your order. Taxes are calculated automatically by Stripe Tax based on your billing address.
• Payment is processed by Stripe, Inc. All payment card information is collected and processed by Stripe; EREBYX does not collect, store, or have access to payment card details.
• We may refuse or cancel orders in cases of error, suspected fraud, payment-network rejection, or violation of these terms.
• If you live outside the United States, you may not be able to complete signup at this time. Genesis Arche is currently offered to U.S.-based customers (see § 12).

4. Trial Period (your no-charge window)

Marketing surfaces refer to this 7-day trial period as the "7-day experience." The legal term is "trial" as defined below.

After the trial converts to a paid subscription, your subscription auto-renews at the locked Genesis Arche rate (monthly or annually, per your plan) until you cancel. Once converted, fees are non-refundable and are not prorated (see § 7 below). The 7-day trial is your no-charge window — cancel before Day 8 and you are never billed.

5. Billing & Renewal

If you choose a monthly plan, your subscription renews each month at $179.00. If you choose an annual plan, your subscription renews each year at $1,790.00. Sales tax (where applicable per § 2) is added at checkout by Stripe Tax.

Renewal charges are at your locked Genesis rate. We will not raise the price for active Genesis Arche subscribers as long as the subscription is continuously active. Where required by law or payment-network rules, we will provide notice in advance of any change that could affect your renewal.

Stripe payment recovery (dunning). If a renewal charge fails (e.g., expired card, declined transaction), Stripe will retry the charge for up to 21 days while we email you to update your payment method. During this dunning window, your subscription remains continuously active and your locked rate is preserved. If payment is not recovered within 21 days, your subscription will cancel automatically and § 6 (Cancellation) applies.

6. Cancellation, Grace Period & Genesis Placement

Cancel anytime. You may cancel your Genesis Arche subscription at any time via the Stripe Customer Portal (linked from your dashboard at app.erebyx.com/billing) or by emailing [email protected]. Cancellation takes effect at the end of your current billing period; you keep access until then.

"Continuously active" defined. Your subscription is continuously active if there is no gap of more than 30 days between successful payments. Stripe payment-recovery periods of up to 21 days do not break continuity. Your subscription is no longer continuously active if (a) you cancel and do not reactivate within 30 days, (b) Stripe payment recovery fails for more than 21 days, or (c) EREBYX terminates your subscription for breach of these Terms or our Acceptable Use Policy.

30-day reactivation grace period — seat reservation only, not a refund window. If you cancel after the trial, you may reactivate within 30 days at your previously locked Genesis Arche rate if Genesis Arche cohort seats remain available at the time of reactivation. The 2,000-seat cohort is shared across all members; if other members enroll during your cancelled window and the cohort fills, Genesis Arche enrollment will be closed and reactivation at the locked rate is no longer possible. This grace period preserves your seat and locked rate. It is NOT a refund window — fees already paid are non-refundable and are not prorated. The only no-charge window is the 7-day trial described in § 4.

After the 30-day grace period. If you have not reactivated within 30 days of cancellation, your locked Genesis rate is permanently forfeited. Re-subscription is then subject to whatever Genesis Arche seats remain (at the locked Genesis rate) or, once the 2,000-seat cohort fills, to whatever subscription tiers we have announced and made publicly available at that time.

Annual prepayment. If you cancel an annual subscription mid-term, you keep access through the end of the prepaid period; prepaid annual fees are non-refundable and are not prorated. Prepaid amounts are likewise non-refundable if we terminate your subscription for cause (material breach of these Terms or our AUP). If we terminate without cause (for example, we discontinue the service), prepaid amounts are non-refundable except where a refund is required by applicable law.

Unsubscribing from marketing email does not cancel a paid subscription.

7. Refunds

Fees are non-refundable once charged, and charges are not prorated. There are no refunds or credits. The 7-day free trial (§ 4) is your no-charge window: cancel before Day 8 and you are never billed. Canceling after the trial stops future renewals and you keep access through the end of the period you've already paid for. This is consistent with our Refund Policy.

Nothing in this section limits any refund right you may have that cannot be waived under applicable law. If something isn't working as described, email [email protected] — we'll do what we can to help.

8. Account & Accurate Information

You agree to provide accurate billing and contact information and to keep credentials secure. You are responsible for activity under your account except where our negligence or a breach on our side is clearly established. You must safeguard your API keys; treat them like passwords.

9. Changes to Plans or Pricing

We may change Genesis Arche features, limits, or future pricing for new subscribers. For active Genesis Arche subscribers, your locked rate is preserved as long as your subscription is continuously active (per § 6). Where a change affects your existing subscription (for example, a feature is added or a benefit changes), we will give notice in line with applicable law and payment-network rules.

10. Intellectual Property

Software, branding, designs, and Site content remain owned by EREBYX LLC or our licensors. Your purchase grants the access described on the Site, not a sale of underlying intellectual property. Your rights in your own memory content are governed by our Terms of Service § "User Ownership of Content".

11. Disclaimer of Warranties

To the maximum extent permitted by law, Genesis Arche, the Site, and related services are provided "as is" and "as available." We do not guarantee uninterrupted access, error-free operation, or that beta or early-access features will match any particular timeline.

12. Limitation of Liability

Our aggregate liability is capped per the Limitation of Liability section of our Terms of Service: the greater of (a) the fees you paid us in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

To the maximum extent permitted by law, EREBYX LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from these Terms of Sale or your purchase.

13. Dispute Resolution

Disputes arising from these Terms of Sale are subject to the same arbitration agreement, class action waiver, 30-day opt-out right, and force majeure provisions set forth in our Terms of Service, which are incorporated here by reference. By completing checkout, you accept those provisions as if fully set forth here.

14. Governing Law & Service Availability

These Terms of Sale are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-law rules. Any judicial proceedings (if not subject to arbitration under § 13) shall be brought in the state or federal courts located in North Carolina, except where applicable law requires otherwise.

U.S.-only at this time. Genesis Arche v0.1.x is offered to U.S.-based customers only. Full GDPR-compliant service for EU/EEA residents (including an Article 27 representative and Standard Contractual Clauses) is targeted for v0.2 (Q3 2026).

15. Updates

We may update these Terms of Sale. For active paid subscribers, material changes (including changes to dispute resolution, liability, or pricing) will take effect 30 days after we notify you by the email address on your account and will not retroactively apply to disputes arising before the effective date. You may cancel before changes take effect. Non-material changes (typo fixes, clarifications) become effective on publication. The "Last updated" date at the top reflects the most recent version.
